Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Zeeo Technologies, Inc. ("Zeeo", "we", "us", "our"), a Delaware corporation with a registered agent at 251 Little Falls Drive, Wilmington, DE 19808, United States.
These Terms govern your access to and use of the Zeeo mobile application, the website at getzeeo.com, and any related interfaces or services we make available (together, the "App").
Please read Section 4 (What Zeeo Is and Is Not), Section 8 (Your Wallet), Section 15 (Risk Disclosure), Section 16 (No Deposit Insurance) and Section 24 (Governing Law; Arbitration; Class Action Waiver) carefully. They limit our obligations to you and affect how disputes are resolved.
By creating an account or using the App, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the App.
1. Definitions
"Account" means the profile you create in the App. The Account is an interface credential only. It is not a bank account, payment account, e-money account, custodial account, or deposit account held with us.
"Bridge" means the Bridge group of companies, our virtual account, conversion and payout partner. Depending on your location your contracting entity will be Bridge Building Inc (US), Bridge Building S.A. (EEA), or Bridge Building Limited (rest of world). See Section 5.1.
"Digital Asset" means any digital representation of value recorded on a blockchain, including the stablecoins in which your Balance is denominated.
"Balance" means the value held in your Wallet, denominated in USD-referenced or EUR-referenced stablecoins and displayed in the App as dollars and euros.
"Fiat" means government-issued currency, including US Dollars (USD) and Euros (EUR).
"Payout" means a transfer of Fiat to an external bank account you designate, executed by Bridge over ACH or SEPA.
"Privy" means Horkos, Inc. d/b/a Privy, our wallet infrastructure provider. See Section 5.2.
"Third-Party Provider" means any independent provider whose services are accessible through or integrated into the App, including Bridge and Privy.
"Virtual Account" means the named account and IBAN or account details issued to you by Bridge for receiving incoming Fiat.
"Wallet" means the self-custodial blockchain wallet created for you through Privy's infrastructure and controlled by you.
"Zeeo Transfer" means a transfer of Balance from your Wallet to another Zeeo user's Wallet, initiated by you in the App.
2. Eligibility
To use the App you must:
- be at least 18 years old and have legal capacity to enter into a binding contract;
- be an individual acting on your own behalf and for your own personal purposes;
- reside in the United States or the European Union, or in another jurisdiction we support;
- provide accurate, current and complete information and keep it up to date; and
- successfully complete identity verification (KYC) and sanctions screening conducted by Bridge.
You may not use the App if you are:
- located in, resident in, or organised under the laws of a jurisdiction subject to comprehensive sanctions or embargoes;
- listed on any sanctions or restricted-party list maintained by the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or the United Nations, or owned or controlled by any such person; or
- otherwise prohibited from using the App or the services of any Third-Party Provider under applicable law.
Access is currently provided on an invitation or approval basis. We may decline, restrict or withdraw access at our discretion, including on the basis of jurisdiction, risk assessment, or Third-Party Provider requirements.
3. What the App Does
Zeeo provides a software interface that lets you hold and move value in dollars and euros. Through the App you can:

No transfer, conversion or payout occurs unless and until you initiate and authorise it. Zeeo does not move, convert or transmit value on your behalf on its own initiative, and does not sweep, schedule or automate any transaction without your instruction.
We do not currently offer cards, credit, lending, interest-bearing products, savings products, investment products, or any yield-generating service.
Timing is not guaranteed. ACH settlement, SEPA settlement and blockchain confirmation each depend on parties and networks outside our control. Timings shown in the App are estimates only.
4. What Zeeo Is and Is Not
Zeeo is a technology company. We build and operate the App: the interface, the account layer, the transaction display, and the integrations with our Third-Party Providers.
Zeeo does not:
- hold, custody, control or safeguard your Fiat or Digital Assets;
- hold, generate, store, access or recover your private keys or key shares;
- transmit money, exchange currency, or convert Fiat to or from Digital Assets;
- execute, settle, clear, reverse or guarantee any transaction;
- operate a bank account, payment account, e-money account or deposit account for you;
- issue cards, extend credit, or provide lending, custody, brokerage, investment, or asset-management services;
- pay or accrue interest, or generate yield on any Balance; or
- provide legal, tax, accounting, investment or financial advice.
All regulated financial activity described in Section 3 — Virtual Account issuance, conversion, transmission, identity verification, transaction monitoring, sanctions screening and payout — is performed by our Third-Party Providers under their own licences, terms and compliance frameworks.
Nothing in these Terms, in the App, on our website, or in our marketing materials should be read as a representation that Zeeo is a bank, a licensed money transmitter, a crypto-asset service provider, a custodian, or a payment institution. Where any other Zeeo material conflicts with this Section 4, this Section 4 controls.
5. Third-Party Providers
The App depends on independent third parties. Each operates under its own agreements and is solely responsible for its own services. You should read their terms before using the App.
5.1 Bridge — virtual accounts, conversion, payouts and compliance
Bridge provides Virtual Account issuance, Fiat-to-stablecoin and stablecoin-to-Fiat conversion, ACH and SEPA payouts, KYC verification, AML and sanctions screening, and ongoing transaction monitoring. Bridge Building Inc is registered with FinCEN as a money services business (NMLS # 2450917).

By using the App you agree to enter into the applicable Bridge terms, and you authorise Zeeo to share the information described in our Privacy Policy with Bridge for onboarding, verification, transaction execution and compliance purposes.
5.2 Privy — wallet infrastructure
Privy (Horkos, Inc.) provides authentication and self-custodial wallet infrastructure. Your Wallet is created through Privy using multi-party computation, meaning key material is split across separate systems such that no single party — including Zeeo and Privy — can authorise a transaction alone.
5.3 Infrastructure vendors
These vendors provide no financial services and process data on our behalf under written agreements.

5.4 General
Third-Party Providers may require you to accept their terms, complete additional verification, or provide further documentation. They may independently decline, delay, suspend, reverse, freeze or block a transaction, or terminate your access, under their own policies and legal obligations.
Zeeo does not control and is not responsible for the acts, omissions, availability, performance, pricing, regulatory status or compliance decisions of any Third-Party Provider. Where a Third-Party Provider declines or delays a transaction, your recourse is with that provider under its terms.
6. Your Account
You must create an Account to use the App. You are responsible for:
- the accuracy and currency of the information you provide;
- maintaining access to and control of the email address associated with your Account;
- safeguarding your login credentials and the device on which the App is installed;
- all activity conducted through your Account, whether or not authorised by you; and
- notifying us promptly at support@getzeeo.com if you suspect unauthorised access.
Your Account is personal to you and may not be transferred, sold or shared. You may not open multiple Accounts without our written consent, or open an Account on behalf of an undisclosed third party.
Your email address is critical. Access to your Wallet depends on your ability to authenticate using the email address on your Account. If you permanently lose access to that email address, we may be unable to help you regain access to your Balance. See Section 8.
7. Verification and Compliance
Before you can send or receive, you must complete identity verification (KYC) with Bridge. Verification is performed by Bridge, and the decision to approve, decline, or request further information rests with Bridge.
You agree to provide any information or documentation reasonably requested by Zeeo or a Third-Party Provider for compliance purposes, including source-of-funds and purpose-of-transaction information, and to update it when it changes.
Bridge conducts ongoing sanctions screening and transaction monitoring, and applies Travel Rule requirements where applicable. Zeeo, Bridge and other Third-Party Providers may be legally prohibited from telling you that a report has been filed with a regulator or law-enforcement body.
You warrant, each time you initiate a transaction, that the value is lawfully yours, is not the direct or indirect proceeds of criminal activity, and is not being transferred on behalf of an undisclosed third party.
8. Your Wallet
Your Wallet is self-custodial. Key material is generated and split using multi-party computation. Zeeo does not hold a key share sufficient to move your Balance and cannot sign a transaction on your behalf.
This means:
- We cannot move, freeze or seize your Balance. No instruction from us, and no request from a third party to us, can transfer value out of your Wallet.
- We cannot reverse a transaction. Once you authorise a transfer and it is broadcast, it is final.
- We cannot recover your Wallet if you lose the ability to authenticate. Access depends on your Account email and your device. If you permanently lose access to your authentication method, your Balance may become permanently inaccessible, and no support request can undo this.
- The technical architecture of the Wallet, including key generation, key sharing and recovery mechanisms, is provided and determined by Privy and governed by Privy's terms.
You are solely responsible for maintaining access to your authentication credentials and for the security of your device.
9. Transactions, Instructions and Limits
You are solely responsible for the accuracy of every instruction you give, including the recipient's Zeeo handle, bank account details, IBAN, beneficiary name, and the amount.
We are not obliged to verify that a destination belongs to your intended recipient, and we are not liable for losses arising from instructions you enter incorrectly. Transactions are generally irreversible. We recommend a small test transfer before sending a significant amount to a new destination.
We apply platform limits in addition to any limits imposed by Bridge. Limits apply per transaction and per period, vary by verification level and risk assessment, and are displayed in the App. We may change limits at any time, apply lower limits to a specific Account, or decline a transaction that exceeds them.
We may refuse to process, delay, or route for manual review any instruction where we or a Third-Party Provider have compliance, fraud, sanctions, legal or operational concerns.
10. Fees
Zeeo fee. We charge a fee per transaction, disclosed in the App before you confirm.
Third-party fees and FX spread. Bridge applies its own fees, including an exchange-rate spread at the point of conversion. These are Bridge's charges, set out in Bridge's fee disclosure statement. Blockchain network fees may apply. Your bank or your recipient's bank may apply separate charges.
Before each transaction the App shows the amount, the applicable fee, the exchange rate where relevant, and the estimated amount the recipient will receive. Amounts shown are estimates until execution; the final rate is the rate applied at the moment of conversion.
There are no account maintenance fees, subscription fees, or interest charges.
Fees are non-refundable once a transaction has been executed, except where required by law. We may change our fees on reasonable notice through the App or by email; changes do not apply retroactively to transactions already initiated.
11. Taxes
You are solely responsible for determining, reporting and paying any taxes arising from your use of the App, including any tax consequences of acquiring, holding or disposing of Digital Assets.
Zeeo does not provide tax advice. Any tax information in the App or in our documentation is general information only, may not apply to your circumstances, and is not a substitute for advice from a qualified adviser in your jurisdiction.
Zeeo does not calculate, withhold or remit any tax. We may be required to report transactions or issue tax forms where applicable law requires it.
12. Acceptable Use
You agree not to use the App, or any Third-Party Provider service accessed through it, to:
- violate any applicable law or regulation, including anti-money laundering, counter-terrorist financing, sanctions, export control or anti-corruption laws;
- engage in or facilitate fraud, money laundering, terrorist financing, sanctions evasion, tax evasion, or structuring;
- transact on behalf of an undisclosed third party, or misrepresent your identity, residency, or the purpose of a transaction;
- fund or facilitate unlawful activity, including trafficking in controlled substances, weapons, counterfeit goods, child sexual abuse material, unlicensed gambling, or pyramid and Ponzi schemes;
- operate a money transmission, exchange, payment processing or remittance business through your Account, or otherwise use a personal Account for commercial purposes without our written consent;
- circumvent limits, verification requirements, geographic restrictions, or any compliance control operated by us or a Third-Party Provider;
- reverse engineer, decompile, scrape, or attempt to derive the source code of the App, or use bots or automated tools against it without our written consent;
- introduce malware, attempt unauthorised access to our systems, or interfere with the integrity or security of the App; or
- use the App in any way prohibited by a Third-Party Provider's acceptable use policy.
We may suspend or terminate access for actual or suspected breach.
13. Intellectual Property
Zeeo and its licensors own all right, title and interest in the App, including its software, interfaces, designs, documentation, trademarks and logos ("Zeeo IP"). We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the App for its intended purpose, subject to these Terms.
You may not copy, modify, adapt, create derivative works from, or use Zeeo IP to build a competing product, and you may not use our name, marks or logos without our prior written consent.
If you send us feedback, ideas or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation or compensation to you.
14. Suspension, Termination and Account Deletion
By you. You may delete your Account at any time from the App settings, or by emailing support@getzeeo.com. Withdraw your Balance before you do. Because your Wallet is self-custodial, closing your Zeeo Account removes your access through the App; we cannot access your Wallet to recover value on your behalf afterwards.
By us. We may suspend, restrict or terminate your access, in whole or in part, with or without notice, if:
- you breach these Terms or the terms of any Third-Party Provider;
- we or a Third-Party Provider suspect fraud, unauthorised access, or illicit activity;
- we are required to do so by law, regulation, court order, or a directive from a competent authority or Third-Party Provider;
- you fail or cease to satisfy verification, eligibility or compliance requirements; or
- we discontinue the App or the relevant feature.
Suspension or termination of your Zeeo Account restricts your access to the App. It does not transfer, freeze or seize your Balance, which remains in your control.
Where lawful and practicable, we will tell you the reason and, where appropriate, how it can be remedied. We may be legally prevented from disclosing certain reasons.
Termination does not affect obligations accrued before termination. Sections that by their nature should survive — including Sections 4, 8, 11, 13, 15–22 and 24 — survive termination.
15. Risk Disclosure
You acknowledge and accept the following risks:
Stablecoin risk. Your Balance is denominated in stablecoins issued by third parties. These are not legal tender, not guaranteed by any government or central bank, and not backed by Zeeo. A stablecoin may lose its peg, become illiquid, or become non-redeemable if its issuer, its reserves, or its regulatory position fail. An issuer may have the technical ability to freeze or block tokens.
Blockchain risk. We do not own, operate or control any blockchain. Transactions may be delayed, may fail, or may be irreversible. Network congestion, forks, protocol failures and smart-contract vulnerabilities are outside our control.
Loss of access. Loss of your authentication credentials may result in permanent and unrecoverable loss of your Balance.
Third-party risk. If a Third-Party Provider suffers downtime, insolvency, regulatory enforcement, a security incident, or a change in policy, your ability to transact or access value may be impaired or lost.
FX and timing risk. Exchange rates fluctuate. The rate applied at conversion may differ from any rate previously displayed. Settlement timing is not guaranteed.
Regulatory risk. The legal and regulatory treatment of stablecoins and stablecoin-based payment flows is evolving in both the United States and the European Union. Changes in law or in a Third-Party Provider's licensing position may affect, restrict or suspend the availability of the App.
Operational risk. Zeeo is an early-stage company. The App may contain errors, may be unavailable, and may change materially or be discontinued.
16. No Deposit Insurance
Your Balance is not a bank deposit. It is not insured or guaranteed by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), any EU or national deposit guarantee scheme, or any government agency. It is not protected by any investor compensation scheme.
Zeeo does not hold client money and does not operate a safeguarding account.
17. Disclaimer of Warranties
The App is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the App will be uninterrupted, secure, timely, or error-free, or that defects will be corrected. We do not warrant the accuracy, completeness or currency of any rate, estimate, balance, timing indication or informational content displayed in the App.
We make no warranty regarding the services, regulatory status, or continued availability of any Third-Party Provider.
18. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business opportunity, lost data, or reputational harm, whether in contract, tort, statute or otherwise, even if we were advised of the possibility.
- We are not liable for losses arising from: the acts, omissions, decisions, downtime, insolvency or regulatory actions of any Third-Party Provider; blockchain behaviour or network failure; loss of your authentication credentials; incorrect instructions you provide; exchange-rate movement; delays in ACH, SEPA or blockchain settlement; or events beyond our reasonable control.
- Our total aggregate liability for all claims arising out of or relating to these Terms or your use of the App is limited to the greater of (a) USD 100 or (b) the total fees you paid to Zeeo in the twelve (12) months preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence or wilful misconduct, and do not affect any non-waivable statutory rights you have as a consumer.
19. Indemnification
You agree to indemnify, defend and hold harmless Zeeo, its affiliates, and their respective officers, directors, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of the App; (ii) your breach of these Terms or of any Third-Party Provider's terms; (iii) your violation of any law or of any third party's rights; (iv) any instruction you submit; or (v) your negligence, fraud or wilful misconduct.
20. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.
Bridge and Privy process personal data as independent controllers under their own privacy policies, linked in Section 5.
21. Electronic Communications and Consent
You consent to receive all communications from us electronically — by email, in-app notification, or by posting in the App. You agree that electronic communications satisfy any legal requirement that a communication be in writing, and you consent to the use of electronic signatures and records.
You must keep your email address current. Delivery to the email address on file is valid delivery.
Bridge maintains its own E-Sign consent disclosure, which applies separately to Bridge communications.
22. No Fiduciary Relationship
Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship between you and Zeeo. We are not your adviser, trustee or agent. All decisions about your use of the App are made independently by you and at your own risk.
23. Complaints
If you are dissatisfied, email support@getzeeo.com with the subject line "Complaint", including your name and contact details, a description of the issue, the date and reference of any relevant transaction, and any supporting documentation.
We aim to acknowledge complaints within ten (10) business days and to provide a substantive response within thirty (30) days.
If your complaint concerns a service provided by a Third-Party Provider — for example a conversion, verification decision, or payout executed by Bridge, or wallet infrastructure provided by Privy — you should raise it directly with that provider under its own complaints process. We will help you identify the right route where we can.
24. Governing Law; Arbitration; Class Action Waiver
Governing law. These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles.
Informal resolution first. Before starting any formal proceeding, you and Zeeo agree to try to resolve the dispute informally. Send written notice to support@getzeeo.com describing the dispute and the relief sought. We will respond within thirty (30) days. If the dispute is unresolved sixty (60) days after we receive your notice, either party may commence arbitration.
Binding arbitration. Any dispute that cannot be resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat is Wilmington, Delaware; the language is English; a single arbitrator will decide. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate. Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury trial waiver. To the maximum extent permitted by law, you and Zeeo each waive the right to a jury trial and agree that claims will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court for intellectual property infringement, unauthorised access, or breach of confidentiality. Such proceedings will be brought in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
Mandatory law. Nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of the country in which you are resident, where such provisions apply and cannot be derogated from by agreement. If you are resident in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence.
25. Changes to These Terms
We may amend these Terms. For material changes we will give at least thirty (30) days' notice by email or in-app notice, unless a shorter period is required by law, regulation or a Third-Party Provider's requirements. Non-material changes take effect on posting.
If you do not accept a change, you must stop using the App and delete your Account before the change takes effect. Continued use after the effective date constitutes acceptance.
The current version is always available in the App and at getzeeo.com.
26. General
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zeeo regarding the App and supersede all prior discussions and understandings.
Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in full force.
Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
Force majeure. We are not liable for any delay or failure in performance caused by events beyond our reasonable control, including acts of God, natural disaster, pandemic, war, civil disturbance, government action, labour dispute, internet or telecommunications failure, power outage, blockchain network failure, or failure of a third-party service provider.
No third-party beneficiaries. Except for our affiliates and the indemnified parties named in Section 19, these Terms create no rights for third parties.
Language. These Terms may be translated for convenience. The English version controls in the event of any conflict.
Headings. Headings are for convenience only and do not affect interpretation.
